1. Parties and Purpose
Licensor: One Hour Meditations™
Licensee: Any individual or organization granted rights under this document.
Purpose: To define permitted uses, restrictions, and legal terms for audio, music, guided scripts, text, images, and related creative content produced or distributed by One Hour Meditations™ (collectively Content).
2. Grant of License
Scope: One Hour Meditations™ grants the Licensee a non‑exclusive, non‑transferable license to use the Content as described below.
Territory: Worldwide.
Term: Unless otherwise stated in a separate written agreement, this license is effective on delivery and continues until terminated under Section 8.
Modes of Use:
Royalty‑Free Personal Use: Licensee may stream, download, and play the Content for personal, non‑commercial use.
Royalty‑Free Educational and Community Use: Licensee may use the Content in free classes, community events, and non‑commercial educational settings provided no admission fee or direct monetization occurs.
Commercial Use Options: Commercial use (paid classes, monetized videos, paid apps, subscription services, product resale) requires a separate commercial license or written permission from One Hour Meditations™.
3. Permitted Actions and Restrictions
Permitted Actions:
Playback and Distribution: Licensee may play, embed, and distribute the Content in accordance with the Scope above.
Adaptation for Personal Use: Licensee may trim, loop, or combine Content for personal playlists or private sessions.
Prohibited Actions:
No Resale or Redistribution as Standalone Files: Licensee may not sell, sublicense, or redistribute the Content as standalone audio files, downloads, or stock assets.
No Claim of Ownership: Licensee may not claim authorship or ownership of the Content.
No Derivative Commercial Products Without License: Licensee may not create commercial derivative works (branded courses, paid downloads, apps) without a commercial license.
No Use in Hate, Illegal, or Harmful Contexts: Content may not be used to promote violence, discrimination, illegal activity, or content that violates human rights.
4. Attribution and Credits
Attribution Required for Public Use: When the Content is used publicly (online uploads, streamed classes, published materials) the Licensee must include the following credit in a visible location:

Optional Link: Where feasible, include a link to the One Hour Meditations™ website or official channel.
Exceptions: Personal, private, or purely offline uses need not include attribution.
5. Fees, Commercial Licensing, and Payment
Free Uses: Personal and qualifying community/educational uses are royalty‑free.
Commercial Licensing: For any monetized or resale use, contact One Hour Meditations™ for a commercial license. Fees, payment terms, and scope will be set in a separate written agreement.
Taxes and Withholding: Licensee is responsible for any taxes or fees arising from commercial licenses.
6. Warranties, Disclaimers, and Indemnity
Limited Warranty: One Hour Meditations™ warrants that it has the right to license the Content.
Disclaimer: Except for the limited warranty above, the Content is provided as is without other warranties of any kind, express or implied, including merchantability or fitness for a particular purpose.
Indemnity: Licensee agrees to indemnify and hold harmless One Hour Meditations™ from claims, damages, liabilities, and expenses arising from Licensee’s breach of this License or from Licensee’s use of the Content in violation of this License.
7. Limitation of Liability
Cap on Damages: To the maximum extent permitted by law, One Hour Meditations™’s total liability for any claim related to the Content or this License will not exceed the amount paid by the Licensee for a commercial license in the prior 12 months, or one hundred US dollars (USD 100) if no commercial license was purchased. Neither party will be liable for incidental, consequential, or punitive damages.
8. Termination and Remedies
Termination for Breach: One Hour Meditations™ may terminate this License immediately upon written notice if the Licensee breaches any material term.
Effect of Termination: Upon termination, Licensee must cease public use and distribution of the Content and remove the Content from monetized channels. Personal copies for private use may be retained but may not be used publicly.
Remedies: Termination is without prejudice to any other remedies available at law or equity.
9. DMCA and Copyright Claims
Copyright Enforcement: One Hour Meditations™ enforces its copyright rights. Copyright owners may submit takedown notices in accordance with applicable law. Licensee must promptly notify One Hour Meditations™ of any third‑party claims regarding the Content.
10. Governing Law and Dispute Resolution
Governing Law: This License is governed by the laws of the State of Florida, United States, without regard to conflict of law principles.
Dispute Resolution: Parties will first attempt good‑faith negotiation. If unresolved, disputes will be resolved in state or federal courts located in Florida.
11. Miscellaneous
Entire Agreement: This License, together with any separate commercial license agreement, constitutes the entire agreement between the parties regarding the Content.
Severability: If any provision is held invalid, the remainder remains in effect.
No Waiver: Failure to enforce a provision is not a waiver of future enforcement.

Meditation Service Agreement
This Meditation Service Agreement is entered into by and between One Hour Meditations ("Provider") and the individual or entity receiving services ("Client") on the date the Client accepts these terms.
Services
Scope of Services
Provider will deliver meditation services including guided audio sessions, live or recorded classes, workshops, curriculum development, consultation, and related materials as described in the applicable Statement of Work.
Deliverables will be specified in writing for each engagement and may include audio files, scripts, lesson plans, schedules, and access credentials.
Service Levels
Delivery schedule and session lengths will be set in the Statement of Work.
Modifications to scope or schedule require written agreement and may affect fees.
Fees and Payment
Fees
Client will pay the fees set forth in the Statement of Work or invoice. Fees may be fixed, hourly, subscription, or per‑session as agreed.
Payment Terms
Invoices are due within 30 days of receipt unless otherwise stated. Late payments incur interest at 3.5% per month or the maximum permitted by law.
Expenses
Client will reimburse reasonable, preapproved expenses incurred by Provider in performance of services.
Taxes
Client is responsible for all applicable taxes, excluding Provider’s income taxes.
Term and Termination
Term
This Agreement begins on the effective date and continues until the services are completed or the Agreement is terminated.
Termination for Convenience
Either party may terminate with 30 days’ written notice. Client will pay for services performed through the termination date.
Termination for Cause
Either party may terminate immediately for material breach if the breach is not cured within 14 days after written notice.
Effect of Termination
Upon termination Provider will deliver work in progress and Client will pay outstanding fees. Certain license rights granted to Client will survive only as expressly stated.
Intellectual Property
Provider Ownership
Provider retains all rights, title, and interest in original content, recordings, scripts, music, trademarks, and methodologies created prior to or independently of this Agreement.
License to Client
Subject to full payment, Provider grants Client a limited, nonexclusive, nontransferable license to use delivered materials for the Client’s internal, noncommercial purposes as specified in the Statement of Work. Commercial use requires a separate license.
Client Materials
Client retains ownership of materials it supplies. Client grants Provider a license to use Client materials solely to perform the services.
Moral Rights
Client will not assert moral rights against Provider’s use of the content and will execute reasonable documents to confirm Provider’s rights if requested.
Confidentiality and Data Protection
Confidential Information
Each party will protect the other’s confidential information and not disclose it except to employees, contractors, or advisors who need to know and are bound by confidentiality.
Personal Data
Provider will process personal data only as necessary to provide services and in accordance with applicable law. Parties will implement reasonable security measures.
Exceptions
Confidentiality does not apply to information that is public, already known, independently developed, or required to be disclosed by law.
Warranties and Disclaimers
Limited Warranty
Provider warrants that services will be performed with reasonable skill and care.
Disclaimer
Except for the limited warranty, services and content are provided as is. Provider disclaims all other warranties including fitness for a particular purpose and noninfringement.
No Medical or Legal Advice
Content is not medical or legal advice. Client should consult qualified professionals for medical, psychological, or legal matters.
Indemnity and Liability
Client Indemnity
Client will indemnify Provider against claims arising from Client materials, Client’s misuse of content, or Client’s breach of this Agreement.
Provider Indemnity
Provider will indemnify Client for third‑party claims that Provider’s original content infringes intellectual property rights, provided Client gives prompt notice and cooperates in defense.
Limitation of Liability
Except for willful misconduct or gross negligence, each party’s aggregate liability is limited to the fees paid by Client under this Agreement in the 12 months preceding the claim. Neither party is liable for consequential, incidental, or punitive damages.
Representations and Responsibilities
Client Responsibilities
Client will provide timely access to facilities, information, and approvals required for Provider to perform services.
Provider Responsibilities
Provider will deliver services professionally and comply with agreed schedules.
Third‑Party Platforms
Use of third‑party platforms (streaming, hosting, payment processors) is subject to those providers’ terms. Provider is not responsible for third‑party outages.
Dispute Resolution and Governing Law
Good Faith Negotiation
Parties will attempt to resolve disputes by good‑faith negotiation.
Governing Law
This Agreement is governed by the laws of the State of Florida without regard to conflict of law rules.
Venue
Disputes will be resolved in state or federal courts located in Florida unless parties agree to arbitration in writing.
Miscellaneous
Independent Contractors
Parties are independent contractors. No agency, partnership, or employment relationship is created.
Assignment
Client may not assign this Agreement without Provider’s written consent. Provider may assign to an affiliate or successor.
Notices
Notices must be in writing and delivered to the addresses in the Statement of Work or otherwise provided.
Entire Agreement
This Agreement and any Statements of Work constitute the entire agreement and supersede prior discussions.
Amendments
Amendments must be in writing and signed by both parties.
Acceptance
By engaging Provider’s services or accepting a Statement of Work, Client acknowledges and agrees to the terms of this Meditation Service Agreement.

This includes audio recordings, guided scripts, musical compositions, text, images, video, website content, mobile app content, course materials, and related creative works (collectively Content).
One Hour Meditations asserts copyright in its Content even where no formal government registration has been obtained. This notice acknowledges that the Content is protected under applicable copyright laws from the date of creation. The phrase “poor man’s copyright” is sometimes used informally to describe self‑dated copies or other informal evidence of creation; such measures do not replace formal registration and may offer limited legal benefit in some jurisdictions.

Parties: These Subscription Terms govern access to subscription services provided by One Hour Meditations (the Provider) to the subscribing individual or entity (the Subscriber).
Purpose: These Terms set out subscription plans, billing, access rights, cancellations, content licensing, user obligations, privacy, and dispute resolution for the Provider’s meditation content and services.
Plans Billing and Trials
Subscription Plans:
Plan Types: Provider will offer multiple plans such as Monthly, Annual, and Premium tiers. Specific plan names, features, and prices will be published on the Provider’s website and may be updated from time to time.
Free Trial: When offered, free trials are limited to one per user and require valid payment information. Trial duration and eligibility are published with the trial offer.
Billing and Payment:
Automatic Renewal: Subscriptions automatically renew at the end of each billing period unless cancelled before the renewal date.
Payment Methods: Provider accepts payment methods listed at checkout. Subscriber authorizes recurring charges to the chosen payment method.
Price Changes: Provider may change subscription prices. Price changes for renewing Subscribers will be communicated at least 30 days before the next billing cycle. Subscriber may cancel to avoid the new price.
Failed Payments: If a payment fails, Provider may suspend access until payment is resolved. Provider may retry charges and may terminate the subscription after repeated failures.
Taxes and Fees:
Taxes: Subscriber is responsible for applicable taxes, duties, or fees unless Provider states otherwise at checkout.
Third Party Fees: Any fees charged by payment processors or app stores are the Subscriber’s responsibility.
Access License and Content Use
License Grant:
Limited License: Provider grants Subscriber a limited, nonexclusive, nontransferable license to access and use subscription content for personal, noncommercial purposes during the active subscription term.
Territory: Worldwide access is granted unless otherwise restricted by specific content licensing.
Permitted Uses:
Streaming and Personal Downloads: Subscriber may stream content and, where explicitly allowed, download content for offline personal use only.
Educational Use: Noncommercial educational use may be permitted under the Provider’s published guidelines.
Prohibited Uses:
No Redistribution: Subscriber may not sell, sublicense, redistribute, or make available Provider content as standalone files or as part of a product for resale.
No Claim of Ownership: Subscriber must not claim authorship of Provider content.
No Harmful Use: Content may not be used in any unlawful, defamatory, hateful, or harmful context.
Intellectual Property:
Ownership: Provider retains all rights, title, and interest in content and trademarks. Subscriber receives no ownership rights except the limited license described above.
Attribution: Public uses that require attribution must include the credit line Music and guided content by One Hour Meditations where feasible.
Cancellation Refunds and Termination
Cancellation by Subscriber:
How to Cancel: Subscriber may cancel via account settings or the payment platform used at purchase. Cancellation takes effect at the end of the current billing period unless otherwise stated.
No Prorated Refunds: Unless otherwise specified in a plan or promotion, Provider does not issue prorated refunds for partial billing periods.
Refund Policy:
Trial Periods: If a free trial is offered, no charges apply during the trial unless the Subscriber fails to cancel before trial end.
Commercial Exceptions: Refunds for paid subscriptions are handled per the Provider’s refund policy published at purchase and may vary by jurisdiction and payment method.
Termination by Provider:
For Cause: Provider may suspend or terminate access for material breach including payment failure, prohibited use, or violation of these Terms.
Effect of Termination: Upon termination, Subscriber’s access to subscription content ends. Provider may retain copies of Subscriber records as required by law.
Privacy Data and Security
Data Collection:
What We Collect: Provider collects account information, billing details, usage data, and any personal data provided by the Subscriber. Specific data categories and purposes are described in the Provider’s Privacy Policy.
Use and Sharing:
Service Delivery: Data is used to deliver services, process payments, and improve offerings. Provider may share data with service providers under confidentiality obligations.
Legal Requests: Provider may disclose data to comply with legal obligations or to protect rights and safety.
Security Measures:
Reasonable Protections: Provider implements reasonable administrative, technical, and physical safeguards to protect Subscriber data. No system is perfect and Provider does not guarantee absolute security.
Subscriber Responsibilities:
Account Security: Subscriber must keep account credentials secure and notify Provider of unauthorized access. Subscriber is responsible for activity on their account.
Modifications Warranties and Liability
Modifications to Terms and Service:
Updates: Provider may modify these Terms or subscription features. Material changes will be communicated in advance when feasible. Continued use after notice constitutes acceptance.
Warranties:
Limited Warranty: Provider warrants it has the right to provide the subscription content. Content and services are provided as is and Provider disclaims other warranties to the fullest extent permitted by law.
Limitation of Liability:
Cap on Damages: Provider’s aggregate liability for claims arising from these Terms is limited to the amount paid by Subscriber in the 12 months preceding the claim or one hundred US dollars if no payment was made, except where prohibited by law. Provider is not liable for indirect, incidental, or consequential damages.
